Terms of Service

These Terms of Service ("Terms") govern your access to and use of SparkVault's cryptographic storage platform, APIs, and related services (collectively, the "Services") provided by SparkVault, LLC ("SparkVault," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using our Services, you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

SparkVault provides:

  • Sparks: Ephemeral, burn-after-read encrypted secrets with Double Zero-Trust encryption
  • Vaults & Ingots: Persistent encrypted storage with Triple Zero-Trust encryption and passphrase protection
  • App Marketplace: Secure workflows including RNG (random number generation) and TOTP (one-time passwords)
  • APIs: Programmatic access to all Services

3. Account Registration

3.1 Account Creation

You must create an account to use most Services. You agree to provide accurate, current, and complete information and to update this information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must immediately notify us of any unauthorized use. SparkVault is not liable for losses arising from unauthorized account access.

3.3 Age Requirement

You must be at least 18 years old to use the Services. By using the Services, you represent that you meet this requirement.

4. Acceptable Use

4.1 Permitted Use

You may use the Services for lawful purposes in accordance with these Terms. This includes storing encrypted data, generating secure random numbers, and implementing authentication workflows.

4.2 Prohibited Use

You agree NOT to use the Services to:

  • Store, transmit, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Store child sexual abuse material (CSAM) or any content exploiting minors
  • Facilitate terrorism, violence, or criminal activity
  • Distribute malware, viruses, or other harmful code
  • Infringe on intellectual property rights of others
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Services or servers
  • Circumvent security measures or rate limits
  • Use the Services for high-risk activities where failure could cause death, injury, or significant damage
  • Resell or redistribute the Services without authorization
  • Violate any applicable laws or regulations

Note: While we cannot access your encrypted content, we reserve the right to terminate accounts that we reasonably believe are being used for prohibited purposes based on usage patterns, reports, or other indicators.

5. Fees and Payment

5.1 Pricing

Services are billed according to our pricing page. Prices are subject to change with 30 days notice. Current pricing is available at sparkvault.com/pricing.

5.2 Payment Terms

Payment is processed by Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred. Fees are non-refundable except as required by law or as explicitly stated.

5.3 Free Tiers

Certain Services include free usage tiers. We reserve the right to modify or discontinue free tiers with 30 days notice.

5.4 Taxes

Fees are exclusive of taxes. You are responsible for all applicable taxes except those based on SparkVault's income.

6. Your Data

6.1 Ownership

You retain all rights to your data. SparkVault claims no ownership over content you store using the Services.

6.2 Encryption and Access

Your data is encrypted using our Zero-Trust architecture. For Vaults, decryption requires your passphrase (VMK), which we never store. You are solely responsible for maintaining access to your encryption credentials. Lost passphrases cannot be recovered, and SparkVault cannot decrypt your data.

6.3 Backups

You are responsible for maintaining your own backups. While we implement redundancy, we do not guarantee data recovery and recommend you keep copies of critical information.

6.4 Data Deletion

Sparks are automatically deleted after read or TTL expiration. Vaults and Ingots are retained until you delete them. Upon account termination, all data is permanently deleted within 30 days.

7. Intellectual Property

7.1 SparkVault IP

The Services, including software, APIs, documentation, and trademarks, are owned by SparkVault and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

7.2 Feedback

If you provide feedback or suggestions, you grant SparkVault a perpetual, royalty-free license to use such feedback without obligation to you.

8. Service Availability

8.1 Uptime

We strive for high availability but do not guarantee uninterrupted service. The Services may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.

8.2 Modifications

We may modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice for material changes that negatively affect you.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

SPARKVAULT DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPARKVAULT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR USE OR INABILITY TO USE THE SERVICES
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
  • LOSS OF ENCRYPTED DATA DUE TO FORGOTTEN PASSPHRASES
  • ANY THIRD-PARTY CONDUCT ON THE SERVICES
  • ANY OTHER MATTER RELATING TO THE SERVICES

IN NO EVENT SHALL SPARKVAULT'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO SPARKVAULT IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless SparkVault and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of another.

12. Termination

12.1 By You

You may terminate your account at any time through your account settings or by contacting [email protected].

12.2 By SparkVault

We may suspend or terminate your access to the Services immediately, without notice, for conduct that we believe violates these Terms, is harmful to other users or third parties, or for any other reason at our sole discretion.

12.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We may delete your data within 30 days of termination. Sections 6.1, 7, 9, 10, 11, 13, and 14 survive termination.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

13.2 Dispute Resolution

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Wyoming or remotely at your election. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding.

13.3 Class Action Waiver

You agree to resolve disputes with SparkVault on an individual basis and waive the right to participate in class actions or class arbitrations.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SparkVault regarding the Services.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

14.3 Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

14.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

14.5 Changes to Terms

We may modify these Terms at any time. We will notify you of material changes at least 30 days before they take effect. Continued use of the Services after changes constitutes acceptance.
